Paradise Foods Limited is seeking an experienced Legal Officer/Board Secretary to provide strategic legal advice and corporate governance support to the Board of Directors, Chief Executive Officer, Executive Leadership Team, and business units. The role is responsible for safeguarding the company’s legal interests, ensuring compliance with applicable laws and regulations, managing legal risks, overseeing corporate governance practices, and serving as Secretary to the Board and its Committees.
Key Objectives
As a Legal Officer/Board Secretary, you will be responsible for ensuring that the company operates within legal requirements, follows sound governance practices, and manages legal and regulatory risk effectively.
Key Responsibilities
- Legal Advisory Services: Provide strategic legal advice, ensure compliance, and manage legal risks across business operations and transactions
- Contract Management: Manage contracts by drafting, negotiating, and overseeing agreements to protect the company’s interests and ensure effective contract governance.
- Corporate Governance: Provide corporate governance advice, ensure regulatory compliance, and support effective Board and executive decision-making.
- Board Secretariat Functions: Provide comprehensive Board and Committee secretariat services, including meeting coordination, governance support, record management, and director development.
- Compliance and Risk Management: Monitor regulatory compliance and legal risks by developing compliance frameworks, conducting audits, and managing regulatory matters and compliance breaches.
- Litigation and Dispute Resolution: Manage litigation, disputes, and regulatory matters by coordinating legal strategy, external counsel, and cost-effective resolution outcomes.
- Policy Development: Develop, review, and maintain corporate policies and governance frameworks to ensure regulatory compliance and effective implementation across the business.
- Stakeholder Management: Build and manage key stakeholder relationships, represent the company on legal and governance matters, and facilitate effective communication between the Board and Executive Management.
Qualifications & Experience
The successful candidate should possess:
- Bachelor of Laws (LLB) or equivalent legal qualification.
- Admitted legal practitioner with a valid practicing certificate.
- Company Secretary qualification or demonstrated corporate governance experience.
- Membership of a recognized legal professional body.
- Minimum 7-10 years’ post-admission legal experience.
- Significant experience in corporate and commercial law.
- Experience advising Boards and senior executives.
- Experience in corporate governance and board secretariat functions.
- Experience managing contracts, disputes, and compliance matters.
